You’ll be responsible for ensuring the corporate governance framework aligns with the Corporations Act, APRA, ASIC, and the Bank’s Constitution. This high-profile role supports the Board, Committees, and Executives with governance, legal, and company secretarial duties, including statutory lodgements, policy governance, and Director processes.
Acting as a trusted advisor, the position fosters strong governance, regulatory compliance, and effective decision-making during a pivotal growth phase.
Key responsibilities
- Board & Committee Governance: Manage end-to-end Board and Committee processes, including scheduling, agenda planning, meeting packs, minute-taking, and secure material distribution.
- Corporate Secretarial Duties: Act as Secretary for various entities, ensuring compliance with the Corporations Act, APRA, ASIC, and other laws.
- Stakeholder Engagement: Serve as a trusted liaison for Directors, Executives, regulators, and external stakeholders on governance matters.
- Director & Executive Support: Provide governance and administrative support, including expense reconciliation, travel, induction, professional development, and ad hoc matters.
- Regulatory Lodgements: Prepare and lodge statutory filings with ASIC, APRA, and other regulators, including FAR updates.
- Legal & Governance Compliance: Ensure governance papers, Board minutes, and policies comply with the Corporations Act, APRA standards, and the Constitution.
- Governance Advice: Offer commercially informed governance advice, regulatory updates, and insights on emerging practices.
- Legal Research: Conduct legal research and prepare summaries on legislative, regulatory, and case law developments.
- Policy Governance: Oversee the policy framework, ensuring policies are compliant, current, and well-communicated.
- Risk & Compliance: Embed governance related controls, monitor compliance, and escalate risks as needed.
- Records Management: Maintain secure, accurate company registers, statutory records, and governance archives.
You will be an exceptional legal professional with Co Sec experience looking to expand your experience, ideally with the below skills:
- Tertiary qualifications in Law and eligibility for admission as a legal practitioner in NSW.
- 5+ years experience in corporate governance, legal, or company secretarial roles.
- Proven experience supporting Boards and Committees within financial services or a regulated entity (advantageous), including agenda preparation, strong minute-taking, and distribution of Board materials.
- Demonstrated ability to interpret and apply legislation, prudential standards, and governance frameworks (Corporations Act, ASIC and APRA frameworks, and corporate governance principles).
- Highly respected, experienced and friendly team going through an exciting growth phase.
